• 9.3 User/Users acknowledge that Special Education Compliance and Training   LLC  and/or Special Education Training Center  may retain copies of any and all communications made to Us or using Our System.

• 9.4 User/Users acknowledge that any information User/Users send to Us through Our System may be modified by Us in any way and User/Users hereby waive your/our moral right to be identified as the author of such information. Any restrictions User/Users may wish to place upon Our use of such information must be communicated to Us in advance and We reserve the right to reject such terms and associated information.

10. Accounts

• 10.1 In order to procure Services on this Website Special Education Training Center https://www.spedtraining.com and to use certain other parts of the System,  User/Users are required to create an Account which will contain certain personal details and Payment Information which may vary based upon User/Users use of the Website Special Education Training Center https://www.spedtraining.com as We may not require payment information until User/Users wish to make a purchase.   • 10.1.1 all information you submit is accurate and truthful;

• 10.3 If  User/Users have reason to believe that User/Users Account details have been obtained by another person without consent, User/Users should contact Us immediately to suspend  User/Users Account and cancel any unauthorized orders or payments that may be pending. Please be aware that orders or payments can only be cancelled up until provision of Services has commenced. In the event that an unauthorized provision commences prior to  User/Users notifying Us of the unauthorized nature of the order or payment then User/Users shall be charged for the period from the commencement of the provision of services until the date  User/Users notified us and may be charged for a billing cycle of one month.

• 10.4 When choosing  User/User's username  User/Users are required to adhere to the terms set out above in Clause 9. Any failure to do so could result in the suspension and/or deletion of  User/Users Account.

11. Termination and Cancellation of Accounts

• 11.1 Either Special Education  Training Center and/or Special Education Compliance and Training LLC  or User/Users may terminate  User/Users Account. If We terminate User/Users Account,  User/Users will be notified by email and an explanation for the termination will NOT BE PROVIDED. Notwithstanding the foregoing, We reserve the right to terminate without giving reasons.
• 11.2 If We terminate User/Users Account, any current or pending orders or payments on  User/Users Account will be cancelled and provision of Services will not commence.
  
• 11.3  Either Special Education Training Center and/or Special Education Compliance and Training LLC will terminate User/Users service immediated if any forms of social media, emails , face to face, telephone or cell phone, written communications, put Our  Website  ,Our  Liminited Liability Company, or the Owners of Special Education Training Center and/or Special Education Compliance and Training Center LLC in a negative light at affects and/or effects Our business or website or the Owners of Special Education Compliance and Training LLC and/or Special Education Training Center, either Our REPUTATION AND/OR FINANCES EITHER CURRENT OR IN THE FUTURE.
  

12. Services, Pricing and Availability

• 12.1 Every effort has been made to ensure that all general descriptions of Services available from Special Education  Training Center correspond to the actual Services that will be provided to User/Users, We are not responsible for any variations from these descriptions as the exact nature of the Services may vary depending on  User/Users individual requirements and circumstances. This does not exclude Our liability for mistakes due to negligence on Our part and refers only to variations of the correct Services, not different Services altogether. Please refer to sub-Clause 13.8 for incorrect Services.
• 12.2 Where appropriate, User/Users may be required to select the required Plan of Services.
• 12.3 We neither represent nor warrant that such Services will be available at all times and cannot necessarily confirm availability until confirming your Order. Availability indications are not provided on the Website.
• 12.4 All pricing information on the Website is correct at the time of going online. We reserve the right to change prices and alter or remove any special offers from time to time and as necessary. ALL SALE eLEARNING COURSES  DISCOUNTED ARE FINAL AND NO REFUNDS. 
• 12.5 In the event that prices are changed during the period between an order being placed for Services and Us processing that order and taking payment, then the price that was valid at the time of the order shall be used.
• 12.6 All prices on the Website does not include VAT. In accordance with HM Revenue & Customs VAT Notice 700/1 (February 2014) and supplements thereof, Special Education Compliance and Training LLC is not yet liable for VAT and therefore not VAT registered and does not possess a VAT number.

13. Orders and Provision of Services

• 13.1 No part of this Website Special Education Training Center https://www.spedtraining.com constitutes a contractual offer capable of acceptance.  User/Users order constitutes a contractual offer that We may, at Our sole discretion, accept. Our acceptance is indicated by Us sending to  User/Users an order confirmation email. Only once We have sent  User/Users an order confirmation email will there be a binding contract between Special Education  Training Center https://www.spedtraining.com and User/Users.
• 13.2 Order confirmations under sub-Clause 13.1 will be sent to you before the Services begin and shall contain the following information:
  • 13.2.1 Confirmation of the Services ordered including full details of the main characteristics of those Services;
  • 13.2.2 Fully itemized pricing for the Services ordered including, where appropriate, taxes, delivery and other additional charges;
  • 13.2.3 Relevant times and dates for the provision of the Services;
  • 13.2.4 User credentials and relevant information for accessing those services.
• 13.3 If We, for any reason, do not accept User/Users order, no payment shall be taken under normal circumstances. In any event, any sums paid by  User/Users  in relation to that order will be refunded within 30 business days.
• 13.4 Payment for the Services shall be taken via  User/Users chosen payment method, immediately for any setup fee that corresponds to the service plan User/Users purchased and at the same day of each subsequent month (“billing cycle”) for charges accrued during the previous month (“billing cycle”) AND/OR as indicated in the order confirmation you received.
• 13.5 We aim to fulfill your Order within 2-3 working days or if not, within a reasonable period following  User/Users Order, unless there are exceptional circumstances. If we cannot fulfill  User/Users Order within a reasonable period, we will inform  User/Users at the time  User/Users  place the Order by a note on the relevant web page or by contacting  User/Users directly after  User/Users place  User/Users Order. Time is not of the essence of the Contract, which means we will aim to fulfill  User/Users Order within any agreed timescales but this is not an essential term of the Contract and we will not be liable to  User/Users if we do not do so. If the Services are to begin within 14 calendar days of Our acceptance of  User/Users order, at  User/Users express request,  User/Users will be required to expressly acknowledge that  User/Users statutory cancellation rights, detailed below in Clause 14, will be affected.
• 13.6 Special Education Training Center shall use all Our reasonable endeavours to provide the Services with reasonable skill and care, commensurate with best trade practice.
• 13.7 In the event that Services are provided that are not in conformity with  User/Users order and thus incorrect, User/Users should contact Us immediately to inform Us of the mistake. We will ensure that any necessary corrections are made within five (5) working days.

  Additional terms and conditions may apply to the provision of certain Services.  User/Users will be asked to read and confirm  User/Users acceptance of any such terms and conditions when completing your Order.

• 13.8 Special Education Training Center provides technical support via our online support forum and/or phone. Special Education Training Center https://www.spedtraining.com  makes any effort possible to respond to support requests within 56 hours or 3 business days during United States of America business hours (9am to 5pm CST), but we do not guarantee a particular response time.

14. Cancellation of Orders and Services

We want  User/Users to be completely satisfied with the Products or Services User/Users order from Special Education Training Center . If User/Users need to speak to us about  User/Users Order, then please contact customer care on Telephone: (832) 946-3031, or by email at setcbusiness@gmail.com or write to us at our address (see section 1 above).  User/Users may cancel an Order that we have accepted or cancel the Contract. If any Specific Terms accompanying the Service contain terms about cancelling the Service, the cancellation policy in the Specific Terms will apply.

• 14.1 If  the User/Users are a consumer based within the United States of America,  User/Users have a statutory right to a “cooling off” period. This period begins once  User/Users order is confirmed and the contract between Special Education Training Center  and User/Users is formed and ends at the end of 14 calendar days after that date. If User/Users change  User/Users mind about the Services within this period and wish to cancel  User/Users order, please inform Us immediately using the following email: setc@spedtraining.com.  User/Users  right to cancel during the cooling off period is subject to the provisions of sub-Clause 14.2.
• 14.2 As specified in sub-Clause 13.6, if the Services are to begin within the cooling off period you are required to make an express request to that effect. By requesting that the Services begin within the 14 calendar day cooling off period you acknowledge and agree to the following:
  • 14.2.1 If the Services are fully performed within the 30 business day cooling off period,  User/Users will lose User/Users right to cancel after the Services are complete.
  • 14.2.2 If  User/Users cancel the Services after provision has begun but is not yet complete  User/Users will still be required to pay for the Services supplied up until the point at which  User/Users inform Us that  User/Users wish to cancel. The amount due shall be calculated in proportion to the full price of the Services and the actual Services already provided. Any sums that have already been paid for the Services shall be refunded subject to deductions calculated in accordance with the foregoing. Refunds, where applicable, will be issued within 30 business days and in any event no later than 30 business days after  User/Users inform Us that  User/Users wish to cancel.
• 14.3 Cancellation of Services after the 30 business days cooling off period has elapsed shall be subject to the specific terms governing those Services and may be subject to a minimum contract duration.

• 14.4 

  Refund and Cancellation Policy 
  Face-to-face Training Course/s: Any cancellation of face-to-face training course/s must be sent to setc@spedtraining.com no later than 30 business days prior to the starting date of the face-to-face training course/s. At that time a full refund will be given through STRIPE within 30 business days, minus a processing fee of $30.00 US dollars.

  Cancellation of Face-to-Face: A face-to-face cancellation fee of $50.00 per participant for face-to-face training cancelled less than 30 business days prior to the starting date of face-to-face training course/s. No refunds will be given on the starting date or after the starting date of the face-to-face training course/s. Face-to-face training course/s are NOT transferable to any face-to-face training course/s or eLearning On-line course/s

  eLearning On-Line Course/s: No refunds will be given for ANY eLearning On-line course/s that has or will be discounted. NO on-line courses/s are transferable to any face-to-face training course/s or eLearning On-line course/s. For a refund Special Education Training Center must be notified within 24 hours of paying for the On-line courses/s. At that time a full refund will be given through STRIPE within 30 business days, minus a processing fee of $30.00 US dollars. NO REFUND will be given if you have opened the course and/or started the course.

  
  

   Nonattendance: No refunds will be given for nonattendance of any face-to-face training course or any Learning courses.
  Reserves Rights: Special Education Training Center reserves to right to modify it’s cancelation and refund policy at any time.

It is strictly forbidden to share any part of this message with any third party, without a written consent of the sender. If you received this message by mistake, please reply to this message and follow with its deletion of your SETC’s eLearning account, so that we can ensure such a mistake does not occur in the future.

The company accepts no liability for any damage caused by any virus transmitted by this email. E-mail transmission cannot be guaranteed to be secure or error-free as information could be intercepted, corrupted, lost, destroyed, arrive late or incomplete, or contain viruses. The sender therefore does not accept liability for any errors or omissions in the contents of this message, which arise as a result of e-mail transmission.

16. How We Use Your Personal Information (Data Protection)

• 16.1 All personal information that We may collect (including, but not limited to, User/Users name and address) will be collected, used and held in accordance with the provisions of the Data Protection Act 1998 and your rights under that Act.
• 16.2 We may use your personal information to:
  • 16.2.1 Provide Our Services to you;
  • 16.2.2 Process your payment for the Services; and
  • 16.2.3 Inform  User/Users of new products and services available from Us. You may request that We stop sending you this information at any time.
• 16.3 In certain circumstances (if, for example, you wish to purchase Services on credit), and with  User/Users consent, We may pass  User/Users personal information on to credit reference agencies. These agencies are also bound by the Data Protection Act 1998 and should use and hold your personal information accordingly.
• 16.4 We will not pass on your personal information to any other third parties without first obtaining your express permission.

17. Disclaimers

• 17.1 We make no warranty or representation that the Website will meet  User/Users requirements, that it will be of satisfactory quality, that it will be fit for a particular purpose, that it will not infringe the rights of third parties, that it will be compatible with all systems, that it will be secure and that all information provided will be accurate. If We are required to make any changes to these Terms and Conditions by law, these changes will apply automatically to any orders currently pending in addition to any orders placed by  User/Users  in the future.

19. Availability of the Website

• 19.1 The Website is provided “as is”, 24/7 days a week, and on an “as available” basis. We give no warranty that the Website or Facilities will be free of defects and / or faults and we do not provide any kind of refund for outages. • 19.2 We accept no liability for any disruption or non-availability of the Website Special Education Training Center https://www.spedtraining.com  resulting from external causes including, but not limited to, ISP equipment failure, host equipment failure, communications network failure, power failure, natural events, acts of war or legal restrictions and censorship.

20. Limitation of Liability

• 20.4 In the event that any of these terms are found to be unlawful, invalid or otherwise unenforceable, that term is to be deemed severed from these Terms of Use and Conditions and shall not affect the validity and enforceability of the remaining Terms of Use & Conditions. This term shall apply only within jurisdictions where a particular term is illegal.

21. No Waiver

In the event that any party to these Terms of Use & Conditions fails to exercise any right or remedy contained herein, this shall not be construed as a waiver of that right or remedy.

24. Communications

Such notice will be deemed received 3 days after posting if sent by first class post, the day of sending if the email is received in full on a business day and on the next business day if the email is sent on a weekend or public holiday.
• 24.2 We may from time to time, if  User/Users opt to receive it, send  User/Users information about Our products and/or services. If  User/Users do not wish to receive such information, please click on the ‘Unsubscribe’ link in any email which User/Users receive from Us.

25. Binding Abritation Clause

As part of the Terms of Use, any controversy or claim relating to User/Users use of Special Education Compliance and Training LLC’s  Website Special Education Training Center https://www.spedtraining.com, will be settled by binding arbitration under the rules of the American Arbitration Association, in the State of Texas ONLY and any court of proper jurisdiction may enforce any judgements granted by arbitrator(s). These Terms of Use &  Conditions and the relationship between User/User and Special Education Training and Compliance LLC shall be governed by and construed in accordance with the State of Texas, in United States of America and Special Education Compliance and Training LLC and User/Users agree to submit to the exclusive jurisdiction of the State of Texas in the United States of America .

27. Arbitration

As part of Special Education Training Center's Terms of Use and Condition, any dispute or claim that comes out of the use of Special Education Training Center by any parties, eLearner/s, federal/state agencies, businesses, school district, charter schools, contract Trainer of Trainers Consultants, and any other type of business and/or individual usage will be resolved by arbitration in accordance with the Federal Arbitration Act (FAA), in accordance with the United States  of America, the State of Texas aribitration statues and judgement/s upon the non-monetary award rendered pursuant to such arbitration may be entered in any court having jurisdiction thereof.  

The “Arbitration Agreement” will include any and all controversies, contracts, , eLearning courses, claims or disputes arising out of, relating to or concerning any interpretation in services, performance, billing or breach of any type of agreement by Special Education Training Center and/or Special Education Compliance and Training LLC, in all shall be subjective to binding arbitration, in the United States of America, in the State of Texas. To initiate the arbitration process, the aggrieved party/s must file and serve Special Education Training Center and/or Special Education Compliance and Training LLC a written claim in accordance with the rules set forth by the Federal Arbitration Act of the United States of America. The party/ies also agree that the “Arbitrator” shall have the power to award any non-monetary remedies, including preliminary relief, injunctive relief, attorney’s fees on the part of Special Education Training Center and/or Special Education Compliance and Training LLC “ONLY”, and costs and all other remedies available under applicable law. It is agreed upon that the “Arbitrator’s” decision shall be final, conclusive, and binding to ALL parties. Judgement may be entered on the Arbitrator’s decision in any court of law having jurisdiction, within the United States of America or aboard.
